STACY RAHL

I am a dual-qualified solicitor and US lawyer with nearly 20 years of experience practising commercial and corporate law. I was formerly a partner at Baker & McKenzie in London and acted as general counsel of a start-up financial services firm. In those roles, and in my consulting work, I have been involved at senior levels in a broad range of corporate transactions involving a wide range of businesses across numerous business sectors and ranging from start ups to multi-nationals. Those transactions have included significant private equity, M&A and capital markets transactions as well as smaller business investments and combinations. I frequently advise both companies and investors on seed, “friends and family” and “Series A” financings, including review and/or preparation of all relevant documentation. I have drafted and negotiated commercial agreements relating to virtually all areas of a business, including non-disclosure agreements, standard terms and conditions, IP licences and assignments, IT and office services contracts and purchase and supply contracts, and have a great deal of experience with corporate agreements and arrangements, such as shareholders’ agreements, partnership agreements and articles of association. I enjoy assisting clients with their company secretarial function, advising on those issues and helping to prepare board and shareholder documentation as appropriate. I also advise clients on the Bribery Act and have assisted clients in a broad range of compliance matters, such as by preparing codes of business conduct, conflicts of interest procedures and anti-bribery and corruption procedures.
